AFFIDAVIT CUM VENDOR AGREEMENT (Between Grocery and Food – gf.asamart.in and the Vendor)

1. DECLARATION & ACCEPTANCE

1.1 I am voluntarily registering as a Vendor on Grocery and Food (gf.asamart.in) (hereinafter referred to as the “Platform”).

1.2 I clearly understand that gf.asamart.in is only an online marketplace / technology platform that connects vendors with customers and does not sell products on its own.

1.3 I confirm that I have carefully read, understood, and agreed to comply with all the terms, conditions, rules, and policies of the Platform, including future updates.

1.4 I declare that all information, documents, licenses, certificates, and product details submitted by me are true, correct, valid, and genuine.

2. VENDOR’S ROLES & RESPONSIBILITIES

The Vendor shall be solely responsible for:

2.1 Product listing, descriptions, pricing, stock availability, and inventory management.

2.2 Proper packaging, labeling, dispatch, and timely delivery of all orders.

2.3 Ensuring that all products are:

• Genuine and legally permitted for sale
• Safe, hygienic, and fit for consumption/use
• Within expiry date and quality standards

2.4 Addressing and resolving all customer complaints, including:

• Non‑delivery or delayed delivery
• Damaged, defective, wrong, or expired products
• Quality or hygiene issues

2.5 Processing refunds, replacements, cancellations, and exchanges directly with customers in accordance with applicable consumer protection laws.

3. LICENSES, REGISTRATIONS & LEGAL COMPLIANCE

3.1 I expressly acknowledge that gf.asamart.in does not provide, hold, share, or manage any licenses on behalf of vendors.

3.2 I confirm that I independently possess and shall maintain all mandatory licenses, approvals, and registrations required for my business, including but not limited to:

• ✅ FSSAI License (mandatory for food/grocery vendors)
• ✅ GST Registration
• ✅ Trade License / Shop & Establishment Registration
• ✅ Any other local, state, or central government approvals

3.3 I shall ensure timely renewal, validity, and compliance of all licenses and documents.

3.4 I agree to upload or submit copies of such licenses whenever demanded by the Platform or statutory authorities.

3.5 Any penalty, notice, fine, legal action, or claim arising due to missing, expired, false, or non‑compliant licenses shall be entirely my responsibility, and the Platform shall not be liable in any manner.

4. ROLE & LIMITATION OF THE PLATFORM (gf.asamart.in)

4.1 The Platform acts only as an intermediary providing digital infrastructure and visibility to vendors.

4.2 The Platform does not:

• Manufacture products
• Store or inspect goods
• Pack or deliver orders
• Determine product legality or quality

4.3 The Platform shall not be responsible for:

• Product quality or safety
• Delivery delays or failures
• Refunds, returns, or cancellations
• Customer disputes or dissatisfaction

4.4 The Platform may assist in communication but shall not be a party to any transaction or dispute.

4.5 The Platform reserves the right to suspend, restrict, or terminate any vendor account for violations, fraud, or legal non‑compliance.

5. PAYMENTS & COMMISSION

5.1 Customer payments may be collected through authorized payment gateways of the Platform.

5.2 The Platform shall deduct applicable commission / service fees before settling payments to the Vendor.

5.3 Payment settlement shall be completed within 28 working days from successful delivery confirmation.

5.4 All refunds, cancellations, penalties, and payment gateway charges shall be borne by the Vendor.

5.5 For Cash on Delivery (COD) orders, settlements shall be made after deducting commission and applicable charges.

6. LIABILITY, INDEMNITY & DISCLAIMER

6.1 I agree to indemnify and hold harmless gf.asamart.in, its owners, employees, and affiliates against any:

• Legal claims
• Losses or damages
• Penalties or regulatory actions

arising from my products, services, conduct, or non‑compliance with laws.

6.2 The Platform shall not be liable for any direct, indirect, incidental, or consequential losses suffered by me.

6.3 The Platform may suspend listings, payments, or accounts if compliance issues are detected.

7. TERMINATION

7.1 Either party may terminate this Agreement by written notice.

7.2 The Platform may immediately suspend or terminate the Vendor account in cases of:

• Fraud or misrepresentation
• Illegal activities
• Regulatory or license violations

7.3 All pending orders, payments, and disputes must be resolved prior to final termination.

8. FINAL AFFIRMATION

I hereby declare that:

• I have read and understood all clauses of this Agreement
• I am signing this document voluntarily and without coercion
• I accept that gf.asamart.in is only a platform provider, and all legal, regulatory, and business responsibilities rest solely with me
