Vendor Agreement
(Between Grocery and Food – gf.asamart.in and the Vendor)
This Vendor Agreement (“Agreement”) is entered into by and between:
- Grocery and Food (hereinafter referred to as the “Platform”, “Website”, or “gf.asamart.in”), operated by its authorized representative, as the First Party.
- The Vendor, being an individual or business entity registering on gf.asamart.in to sell products, as the Second Party.
By registering as a Vendor on gf.asamart.in, you (“Vendor”) acknowledge and agree to be legally bound by the following terms and conditions:
1. Responsibilities of the Vendor
1.1 The Vendor is solely responsible for product listing, pricing, inventory management, packaging, and timely delivery to customers.
1.2 The Vendor guarantees that all products sold are genuine, safe, and in good condition at the time of dispatch and delivery.
1.3 The Vendor will handle all customer complaints related to non-delivery, damaged products, wrong items, expired goods, or quality issues.
1.4 The Vendor will directly manage refunds, replacements, or exchanges with customers in accordance with applicable consumer laws.
1.5 The Vendor shall possess and comply with all applicable laws, licenses, and regulations governing the sale of their products.
2. Responsibilities of the Platform (gf.asamart.in)
2.1 The Platform provides only the marketplace and technology that enable Vendors to connect with Customers.
2.2 The Platform is not responsible for product quality, delivery delays, damages, returns, or refunds.
2.3 The Platform may assist in communication between the Vendor and the Customer but will not be held liable for any disputes or losses arising between the two.
2.4 The Platform reserves the right to monitor listings and remove or suspend any Vendor account violating this Agreement or platform policies.
3. Customer Interaction
3.1 Customers shall contact the Vendor directly for any issues related to products, delivery, refunds, or replacements.
3.2 The Vendor must respond promptly and courteously to all customer queries and complaints.
3.3 Vendors are expected to maintain a high standard of customer service to ensure customer satisfaction.
4. Payments & Commissions
4.1 All customer payments shall be collected through the Platform’s payment gateway.
4.2 The Platform will deduct its commission/service fee (as per current policy) before transferring the remaining balance to the Vendor.
4.3 Payment settlements will be made to Vendors within 28 working days after order completion and delivery confirmation.
4.4 In the event of a refund or cancellation, the Vendor shall bear the refund amount and any related processing charges.
4.5 For Cash on Delivery (COD) orders, the Platform will settle collected cash after deducting commission and applicable service charges.
5. Liability & Indemnity
5.1 The Vendor agrees to indemnify and hold harmless gf.asamart.in, its representatives, and affiliates from any claims, disputes, damages, or legal actions arising due to the Vendor’s products, listings, or business activities.
5.2 The Platform reserves the right to suspend, hold, or terminate any Vendor account without notice in cases of repeated complaints, fraudulent activity, policy violation, or non-compliance.
5.3 The Vendor acknowledges that gf.asamart.in shall not be held responsible for any indirect, incidental, or consequential losses.
6. Termination of Agreement
6.1 Either party may terminate this Agreement with prior written notice.
6.2 The Platform may deactivate, disable, or hold a Vendor’s account at any time if the Vendor violates any terms, policies, or applicable laws.
6.3 All pending orders, payments, or disputes must be resolved prior to termination becoming effective.
7. Acceptance of Terms
By registering and selling on gf.asamart.in, the Vendor confirms that they have read, understood, and agreed to be legally bound by this Vendor Agreement and all associated policies of the Platform.
